CONNECTIONS PLACEMENT CONTRACT

THIS AGREEMENT is entered into between__________________________________________, (the “FACILITY”), and Connections Referral Service ("CONNECTIONS").

WHEREAS, FACILITY requests that CONNECTIONS refer potential residents to it, and CONNECTIONS agrees to do so at CONNECTIONS’s sole discretion, the parties hereto agree as follows:

1. CONNECTIONS will notify FACILITY of each referral by telephone. 

2. FACILITY shall pay CONNECTIONS its referral fee for each resident referred to it by CONNECTIONS who moves into FACILITY within one  year of its referral. 

3. FACILITY shall pay CONNECTIONS an amount equal to 50% of the resident’s customary monthly charge (including any assisting living fees) for placement of each resident referred to it by CONNECTIONS.  If the resident remains at FACILITY less than 30 days, FACILITY shall pay CONNECTIONS an amount equal to 25% of the resident’s first month charges.  FACILITY will notify CONNECTIONS by telephone upon acceptance of each referral.  If the resident stays at the FACILITY less than 7 days, no fee is due CONNECTIONS. 

4.  When a referral fee is due in accordance with Paragraph 3, FACILITY will mail its check to CONNECTIONS within 7 days of receipt of its money from the resident. 

5. FACILITY will not refer a CONNECTIONS referral to another senior care facility.  If FACILITY does so, FACILITY will pay CONNECTIONS its standard referral fee equal to 50% of the resident’s first month charges. 

6. In the event that a resident stays less than 30 days, FACILITY will notify CONNECTIONS in writing and by telephone, of such fact, requesting arefund, within two weeks of the resident vacating FACILITY.  Failure to make this timely request, waives a refund under such circumstances. 

7. If a refund is due in accordance with Paragraph 6,  CONNECTIONS will process a refund check within 7 days of receipt of written notice from FACILITY. 

8. FACILITY will evaluate each potential resident and will determine his/her suitability for admission. Admission to the FACILITY is in the sole discretion of FACILITY. 

9. FACILITY agrees to indemnify and hold CONNECTIONS harmless against any claims, demands or lawsuits (including attorneys fees) resultingfrom, but not limited to claims for any alleged breach of agreement, breach of representation or negligence asserted by a resident or the resident’s caretaker against FACILITY. 

10. This Agreement shall be binding upon the agents, employees, successors, heirs and assigns of the parties hereto, and can only be amended by written mutual agreement.  Either party may cancel this Agreement by written notification (Certified Mail) to the other party. 

11.This Agreement contains the entire agreement of the parties hereto.  Each person executing this Agreement in a representative capacity represents and warrants that he/she is empowered to do so.    

12. The parties have read and understood the provisions of this Agreement.

WEB LISTING AGREEMENT

I agree to pay the annual web listing fee ($300) for each year CONNECTIONS places a client in the FACILITY. No additional web listing fees are due CONNECTIONS for additional resident placements within the same calendar year. No annual web listing fee is due CONNECTIONS if a client is not successfully placed within a calendar year.
